Software and Digital System License Agreement

1. INTRODUCTION

This License Agreement (“Agreement”) governs the use of all digital products, systems, frameworks, templates, documentation, and related materials provided by Hassan AI Systems (“Licensor”).

Hassan AI Systems is a trading name of Hassan Capital Holdings Ltd, registered in the United Kingdom.

By purchasing or accessing any product, you (“Licensee”) agree to be legally bound by this Agreement.

If you do not agree, you must not access or use the products.

2. DEFINITIONS

“Products” means all digital systems, workflows, prompts, templates, frameworks, documentation, and related intellectual property provided by Hassan AI Systems.

“License” means the limited rights granted under this Agreement.

“Internal Use” means use within your own organisation only.

“Organisation” means the legal entity purchasing the product.

“Intellectual Property” includes all copyrights, trademarks, design rights, trade secrets, and proprietary systems contained within the Products.

3. LICENSE GRANT

Subject to payment in full and compliance with this Agreement, the Licensor grants the Licensee a:

Non-exclusive

Non-transferable

Non-sublicensable

Revocable license

To use the purchased Product strictly in accordance with the terms below.

No ownership rights are transferred.

All Intellectual Property remains the sole property of the Licensor.

4. LICENSE TYPES

4.1 Small Business License (£39)

Permits:

  • Use by one individual

  • Internal use only

  • Use of outputs in own business

Prohibits:

  • Sharing access

  • Team use

  • Resale

  • Redistribution

  • Commercial licensing to third parties

4.2 Standard Agency License (£199 / £299 / Bundle)

Permits:

  • Internal use within one organisation

  • Use by internal staff

  • Use of outputs to serve clients

  • Use across multiple client accounts

Prohibits:

  • Resale of system

  • Redistribution of files

  • Providing system access to clients

  • Claiming ownership of system structure

Clients may receive outputs, but not the underlying system.

4.3 Unlimited License (£999)

Permits:

  • Unlimited internal team use

  • Unlimited client usage

  • Internal training usage

  • Use across departments within one legal entity

Prohibits:

  • Resale

  • Distribution outside organisation

  • Sub-licensing to third parties

  • Offering the Product as a standalone product

Unlimited means internal only.

5. PROHIBITED USES

The Licensee shall NOT:

  • Resell, redistribute, or repackage the Product

  • Share login access externally

  • Reverse engineer system frameworks

  • Claim authorship

  • White-label for resale

  • Upload Product publicly

  • Transfer license to another entity

  • Use Product to create competing products

Any breach results in immediate license termination.

6. INTELLECTUAL PROPERTY RIGHTS

All rights, title, and interest in the Product remain with Hassan AI Systems.

This includes:

  • System architecture

  • Prompt frameworks

  • Documentation

  • Training materials

  • Branding

  • Process methodology

The Licensee acquires no ownership rights.

7. CONFIDENTIALITY

The Product constitutes proprietary and confidential information.

The Licensee agrees:

  • Not to disclose internal systems

  • Not to publish internal workflows

  • Not to share proprietary structure

This obligation survives termination.

8. TERM & TERMINATION

This License remains valid indefinitely unless:

  • Licensee breaches this Agreement

  • Payment is reversed or disputed

  • Misuse occurs

Upon termination:

  • All access must cease

  • Copies must be destroyed

  • Continued use becomes unlawful

9. PAYMENT & NO REFUNDS

Licenses are granted only upon full payment.

All digital product sales are final.

Chargebacks or payment disputes automatically terminate the License.

10. DISCLAIMER

The Product is provided “as is”.

The Licensor makes no guarantees regarding:

  • Revenue increase

  • Client acquisition

  • Business success

  • Performance outcomes

All results depend on execution by the Licensee.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

The Licensor shall not be liable for:

  • Loss of profit

  • Loss of revenue

  • Business interruption

  • Indirect damages

  • Consequential loss

Maximum liability shall not exceed the purchase price of the Product.

Nothing excludes liability for fraud or unlawful negligence.

12. INDEMNIFICATION

The Licensee agrees to indemnify and hold harmless Hassan AI Systems from claims arising from:

  • Misuse of the Product

  • Breach of this Agreement

  • Improper client usage

  • Unlawful implementation

13. MODIFICATIONS

The Licensor reserves the right to:

  • Update systems

  • Modify content

  • Improve frameworks

  • Change structure

Future updates may be included or separately priced.

14. ASSIGNMENT

The License may not be assigned, transferred, or sold without written permission.

15. GOVERNING LAW

This Agreement is governed by the laws of England and Wales.

Disputes shall be subject to the exclusive jurisdiction of UK courts.

16. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties regarding licensing of the Product.

It supersedes all prior communications.
